1. Who these Terms apply to
These Bond Promoter Terms & Conditions (the “Promoter Terms”) apply where a Bond Partner Venue grants a Bonder the Promoter role on the Bond Digital Platform, and where that Bonder accepts it.
They apply to both parties: to the Partner Venue that grants the role and sets its commercial terms, and to the Promoter who accepts it and invites guests.
They are published as a single document because both parties rely on the same measurement rules. Those rules are the Company’s, and they are set out in sections 6 to 8.
Bond is a digital platform operated and provided by Elaqa for Design Services LLC, a company established in the United Arab Emirates (the “Company”, “we”, “our” or “us”).
These Promoter Terms supplement the Bond Venue Partnership Agreement in respect of the Partner Venue, and the Bond Terms of Use in respect of the Promoter.
2. The Promoter role
The Promoter role is a role, not a separate type of account. A Promoter uses their own Bond account, and holds the role only in relation to the Partner Venue that granted it.
The role is granted by the Partner Venue, not by the Company. The Company does not select, appoint, approve or recommend Promoters.
A Promoter may hold the role at more than one Partner Venue. Each grant is separate and is governed by its own terms.
Holding the Promoter role does not make the Promoter an employee, agent, partner, joint venture or representative of the Company, and the Promoter has no authority to act for or on behalf of the Company.
3. What the Company does, and does not do
The Company provides the Bond Digital Platform through which a guest list is created, an invitation is sent, a guest joins, an arrival is recorded and the applicable count is produced.
The Company is not a party to the commercial arrangement between the Partner Venue and the Promoter. The Company does not set the commission, does not owe it, does not pay it and does not guarantee its payment.
The commission is owed by the Partner Venue to the Promoter, on the basis the two of them have agreed and in accordance with the measurement rules set out in these Promoter Terms.
The Company produces the count. It does not arbitrate a commercial dispute between the Partner Venue and the Promoter, except that it will make available the records on which a count is based where a party queries it.
4. Granting and accepting the role
Where a Partner Venue grants the Promoter role, the following terms are displayed to the Promoter before acceptance, and the Promoter may accept or decline:
the Partner Venue concerned and the events or periods covered;
the number of places allocated to the Promoter;
the basis of the commission — and in particular whether it is calculated on attending guests, admitted guests or confirmed guests (see section 8);
the duration of the grant.
A grant is renewable but not automatic. An arrangement that renews by itself eventually runs in favour of people who no longer work with the Venue.
The basis of the commission is fixed at the time of the grant. It is not changed after an event has taken place.
Access to the guest lists of other Promoters at the same Venue is closed by default. Promoters working the same evening are in competition, and a Promoter’s guest list is their own commercial asset.
5. What each party sees
What each party can see is deliberately limited.
The Promoter sees the guests on their own guest list — whether each is invited, confirmed or in attendance — the places remaining, and their own attendance rate. The Promoter does not see the guest lists of other Promoters.
The Partner Venue sees arrivals on its guest lists for the evening concerned, by first name and initial, each accompanied by a guest list reference unique to that entry, together with the Promoter through whom each arrival was made. This is necessary because the Venue settles the commission on those arrivals and must be able to query them.
The guest list reference exists so that an entry can be identified without identifying the guest any further. Two guests sharing the same first name and initial remain distinguishable by their references, and a Partner Venue querying a single arrival can designate that arrival precisely.
The reference is specific to one entry, on one guest list, for one event. It is not an account identifier, it does not follow a guest from one event to the next, and it cannot be used to retrieve a guest’s profile or to contact that guest. The Company does not provide a guest’s family name to a Partner Venue or to a Promoter for guest list purposes.
What the Partner Venue sees of the Promoter is limited to the Promoter’s first name, the guests they bring and their attendance rate. The Venue does not obtain access to the Promoter’s profile, their Bonds, their conversations or their visits to other Venues.
Other Bonders see nothing of a guest list.
Where a guest has limited the visibility of their profile, that guest still appears on the guest list of the Promoter who invited them, under their first name and initial and their guest list reference only, without a photograph or profile, and their arrival is still counted. Joining a guest list is a deliberate act towards the person who sent the invitation. The guest does not appear in the Venue’s public presence.
6. What counts, and how it is attributed
The following rules determine whether an attendance counts and to which guest list it is attributed. They apply to every grant of the Promoter role and are not varied by agreement between a Partner Venue and a Promoter.
| Question | The rule, and why |
|---|---|
| What counts as an attending guest | A guest who entered the Venue perimeter during the window of the relevant event and remained there for at least 20 continuous minutes. Without a minimum duration, passing the door would be enough. |
| A guest who appears on two guest lists | Counts for the guest list they joined first, and once only. Splitting a guest between two Promoters would create an interest in trading guests. |
| A Promoter inviting themselves | Not permitted, and the same applies to any account the Promoter controls. |
| Presence that cannot be corroborated | An attendance that is not confirmed by at least one further signal — such as the Venue network or a coherent journey before and after — does not count. |
| When the commission is settled | At closing, once, after which the figure does not change. A total that moves after the event destroys confidence more surely than a low total. |
The 20-minute threshold in these Promoter Terms is separate from the 30-minute threshold that applies to the Bondwards visit earning method. The two serve different purposes and one does not imply the other. The Bondwards thresholds are published in the Bond Digital Platform.
7. Integrity of the count
The integrity of the count is what makes the arrangement work for both parties. The following controls apply:
| Control | Why it holds |
|---|---|
| The guest is notified | A guest whose attendance is recorded receives a notification. A real person disputes an entry they did not make; a fictitious account never does. |
| One recorded entry per guest, per Venue, per night | Not one entry per night overall: a guest may legitimately visit two Venues in an evening. What is checked is the plausibility of the journey. |
| One Promoter per guest within the same Venue | The same guest cannot be counted twice on the same evening at the same Venue. Where a guest attends two different Venues and stays long enough at each, each Promoter may be credited. |
| Entries are attributable | Each recorded entry is attributable to the guest list through which it was made, so that the Venue can query it and the Promoter can rely on it. |
The Promoter must not inflate, duplicate or fabricate attendance, must not arrange with any person at the Venue to record an attendance that did not occur, and must not use any technical means to simulate presence or location.
The Partner Venue must not record an attendance that did not occur, and must not withhold the recording of a genuine attendance in order to reduce a commission.
Where the Company reasonably determines that an attendance does not satisfy these Promoter Terms, it will not be included in the count.
8. Basis of the commission
The basis on which a commission is calculated depends on what can actually be established at the Partner Venue concerned. The basis is agreed at the time of the grant and recorded in it.
| Where the Venue has… | The commission is calculated on… | What this means |
|---|---|---|
| A door scan and a presence beacon | The attending guest — entered and remained at least 20 continuous minutes | The Venue pays for guests who stay, not for guests who look in. |
| A door scan, without a presence beacon | The admitted guest — the scan is sufficient | Entry is attested by the Venue itself. The rate is usually set slightly lower to absorb guests who leave immediately. |
| No equipment at the door | The confirmed guest — the declarative RSVP | The weakest basis, and it is stated as such. The rate is markedly lower. |
The Company does not represent that any particular basis is available at a given Venue, and does not upgrade a basis by inference. Where a Venue has no equipment at the door, the commission is calculated on confirmed guests, and that is stated to the Promoter before acceptance.
The applicable rate, whether expressed as a percentage or as an amount per guest, is set by the Partner Venue. The Company neither sets nor validates it.
9. Settlement and finality of the count
The count for an event is settled once, after the event has closed, and does not change afterwards.
A party who wishes to query a count must do so promptly, and in any event within the period agreed in the grant or, failing such agreement, within a reasonable period following settlement.
A query relating to an individual arrival must designate that arrival by its guest list reference. The Company is not required to act on a query that does not identify the arrival concerned, and does not disclose further information about a guest in order to resolve a query.
Payment of the commission, its timing, any applicable taxes and any invoicing requirements are matters between the Partner Venue and the Promoter. Each party remains responsible for its own tax obligations arising from the arrangement.
10. Data protection
A Promoter receives personal information about the guests they invite. The Promoter must use that information only to operate their guest list for the event concerned.
The Promoter must not disclose a guest list to any third party, must not use it for unrelated marketing or profiling, and must not retain it beyond what is reasonably necessary for the event and any query relating to the count.
The Partner Venue must use arrival information only to admit guests, to settle the commission and to query a count. A guest list reference must not be used to attempt to identify, contact, profile or track a guest, nor combined with other information for that purpose.
Each party shall comply with applicable privacy and data protection laws, and the parties shall determine their respective roles under applicable law based on the actual purpose and nature of the relevant processing. Where either party processes personal information on behalf of the Company as a processor, the parties shall enter into an appropriate Data Processing Agreement before such processing begins.
The Company’s own processing is described in the Bond Privacy Policy.
11. Suspension and withdrawal of the role
A Partner Venue may withdraw the Promoter role in accordance with the terms of the grant.
The Company may suspend or withdraw the Promoter role, or suspend the guest-list functionality for a Venue or a Promoter, where it reasonably considers that these Promoter Terms have been breached, that the integrity of the count is compromised, that applicable law requires it, or that the safety of Bonders is at risk.
Withdrawal of the role does not of itself extinguish a commission already settled in respect of an event that has taken place.
12. Changes to these Promoter Terms
The Company may update these Promoter Terms from time to time. An update applies prospectively, from its stated effective date, and does not alter the basis of a commission for an event that has already taken place.
Where an update materially changes the measurement rules, the Company will make the updated version available before it takes effect.
13. Governing law and mandatory rights
These Promoter Terms are governed by and construed in accordance with the laws of the Dubai International Financial Centre (“DIFC”), United Arab Emirates, except to the extent that mandatory laws applicable to a party apply and cannot lawfully be excluded.
Nothing in these Promoter Terms excludes or limits any right or protection that cannot lawfully be excluded or limited, including any mandatory employment, consumer or other statutory right applicable to a Promoter or to a Partner Venue in its jurisdiction.
Where applicable law characterises the relationship between a Partner Venue and a Promoter differently from the arrangement they have agreed, that characterisation prevails as between them, and the Company is not a party to it.
