1. Introduction

Bond is a digital platform operated and provided by Elaqa for Design Services LLC, a company established in the United Arab Emirates (the “Company”, “we”, “our” or “us”).

The Company is the legal entity responsible for operating and providing the Bond Digital Platform and is the contracting party under this Agreement.

This Venue Partnership Agreement (the “Agreement”) is entered into between the Company and the organisation identified as the “Partner”.

Bond is a global digital platform designed to benefit consumers and professionals.

The Partner acknowledges that Bond may operate in multiple countries and that the Partner is responsible for complying with the laws and regulatory requirements applicable to its Venue, products, services, promotions and customer interactions.

The Partner shall comply with the Bond Privacy Policy, Terms of Use, Advertising Policy, Bond Special Offer Commercial Terms & Redemption Rules and other Bond policies applicable to its activities.

2. Applicability

WHEREAS, the Partner desires to access Bond services and promote its Venue(s) through the Bond Digital Platform in order to attract, engage and retain customers;

WHEREAS, the Partner may voluntarily make Special Offers available to eligible Bonders through Bond;

WHEREAS, the Bond Digital Platform provides the technology through which Special Offers may be presented, claimed, validated and, where applicable, redeemed;

WHEREAS, the Partner remains responsible for the products, services and promotional benefits that it provides;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows.

3. Obligations and liabilities of the Partner

3.1 The Partner shall promote Bond and relevant Bond benefits to its customers in accordance with this Agreement and applicable Bond policies.

Where the Partner participates in Special Offers, the Partner shall provide the benefits specified in its published Special Offers to eligible Bonders in accordance with the Bond Special Offer Commercial Terms & Redemption Rules.

3.2 The Partner shall provide the Company with accurate, complete and up-to-date information relating to each Special Offer, including the promotional benefit, eligibility requirements, validity period, qualifying purchase, redemption conditions, limitations, exclusions and applicable territorial or regulatory restrictions.

3.3 The Partner shall create and maintain its profile on the Bond Digital Platform and onboard its Venue(s).

3.4 The Partner shall be solely responsible for liabilities or damages arising from the operation of its business, including injuries to customers or damage to property, and shall comply with applicable laws and regulations.

The Partner is also solely responsible for the legality, availability, quality, safety and fulfilment of its products, services and Special Offers.

3.5 The Partner shall not engage in any activity that may materially damage or harm the reputation, interests or intellectual property rights of Bond or the Company.

3.6 The Partner shall not impose material terms or conditions at the time of Special Offer Redemption that were not disclosed in the applicable Special Offer.

3.7 Unless otherwise expressly agreed in writing, the Partner bears the economic cost of each Special Offer redeemed through the Bond Digital Platform.

3.8 Where the Partner grants the Promoter role to a Bonder through the Bond Digital Platform, the Partner determines the places allocated, the basis and rate of the commission, the events covered and the duration of the grant.

The Partner remains solely responsible for the commission owed to a Promoter and for the arrangement it agrees with that Promoter. The Company is not a party to that arrangement, does not owe the commission and does not guarantee its payment.

The grant and the Promoter’s use of the role are governed by the Bond Promoter Terms & Conditions, which set out the measurement and attribution rules applicable to both the Partner and the Promoter.

4. Obligations and liabilities of Bond

4.1 The Company shall use reasonable efforts to promote the Partner’s Venue(s) through the Bond Digital Platform and provide reasonable technical support relating to Partner functionality.

4.2 The Company shall use reasonable efforts to maintain the Bond Digital Platform in a functional and reasonably up-to-date condition.

4.3 The Company shall provide the Partner with reasonable marketing materials and support relating to the Bond Digital Platform.

4.4 Bond, as operated by the Company, acts as a digital intermediary and technology platform through which Bonders may discover, claim and, where applicable, redeem Partner Special Offers.

The Bond Digital Platform does not sell, manufacture, prepare, supply or fulfil the Partner’s underlying products or services.

The Company shall not be liable for liabilities or damages arising solely from the operation of the Partner’s business, including injuries to customers, damage to property, product quality, staff conduct or the Partner’s breach of law, except to the extent caused by the Company’s own acts or omissions or otherwise required by applicable law.

4.5 The Company shall not knowingly engage in activity that materially damages or harms the reputation, interests or intellectual property rights of the Partner.

5. Term and termination

5.1 This Agreement shall remain in effect for an initial period of one (1) year from the Effective Date, and shall automatically renew for successive one (1) year terms unless either party provides written notice of non-renewal at least thirty (30) days prior to the end of the current term.

5.2 Notwithstanding the foregoing, either party may terminate this Agreement for any reason upon thirty (30) days’ written notice.

5.3 Upon termination of this Agreement, the Company shall not refund fees paid for Bond services subscribed to by the Partner, except where a refund is expressly agreed in writing or required by applicable law.

Each party shall promptly return or securely delete the other party’s confidential information and materials, subject to any retention requirements imposed by applicable law.

6. Confidentiality and data protection

6.1 The parties agree to keep all information related to this Agreement and their respective businesses confidential, except as may be required by law or to fulfill the obligations of this Agreement.

6.2 The Partner shall not disclose or use any confidential information obtained from Bond, including but not limited to the Bond Digital Platform, for any purpose other than in connection with this Agreement.

6.3 Data Protection

Each party shall comply with applicable privacy and data protection laws in connection with its activities under this Agreement.

The parties shall determine their respective roles under applicable law based on the actual purpose and nature of the relevant processing.

Where the Partner receives personal information through the Bond Digital Platform to validate or fulfil a Special Offer, the Partner shall use that information only to the extent reasonably necessary for that purpose and shall not use it for unrelated marketing, profiling or other purposes unless permitted by applicable law and appropriately disclosed.

Where the Partner processes personal information on behalf of the Company as a processor, the parties shall enter into an appropriate Data Processing Agreement before such processing begins.

Where the Partner acts as an independent controller, the Partner remains responsible for its own privacy notice, lawful basis, security, retention and data-subject obligations.

Where required by applicable law, the parties shall cooperate with respect to data-subject requests, security incidents, regulatory inquiries and international data transfers.

7. Intellectual property

7.1 Each party acknowledges that the other party owns all right, title, and interest in and to its respective intellectual property, and that no ownership or interest in such intellectual property is transferred by this Agreement.

7.2 The Partner grants to the Company a non-exclusive, non-transferable, royalty-free licence during the term of this Agreement to use, reproduce and display the Partner’s trademarks, logos, Venue information, images and other materials supplied by the Partner solely to operate, promote and fulfil the purposes of this Agreement.

This includes displaying and promoting the Partner’s Venue and Special Offers through the Bond Digital Platform and Bond-related marketing channels.

The Partner represents that it has the rights necessary to grant this licence.

8. Entire Agreement and incorporated terms

8.1 This Agreement constitutes the principal agreement between the Company and the Partner and supersedes prior negotiations, agreements and understandings relating to its subject matter.

The Bond Special Offer Commercial Terms & Redemption Rules are incorporated by reference into this Agreement and form part of this Agreement solely in relation to Special Offers.

8.2 No amendment to this Agreement shall be effective unless made in writing and signed by both parties, except that documents expressly incorporated into this Agreement may be updated prospectively where those documents expressly provide for versioning and prospective updates.

The Bond Special Offer Commercial Terms & Redemption Rules may therefore be updated from time to time in accordance with their own versioning provisions.

Any updated version shall apply prospectively to Special Offers created or activated after its applicable effective date, unless otherwise required by law or expressly agreed by the parties.

9. Governing law and dispute resolution

9.1 This Agreement shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (“DIFC”), United Arab Emirates.

9.2 Any dispute arising out of or in connection with this Agreement shall be finally resolved by arbitration in accordance with the applicable DIFC arbitration framework.

9.3 The seat of arbitration shall be the DIFC and the language of the proceedings shall be English.

9.4 Nothing in this clause prevents either party from seeking urgent interim or protective relief from a competent court where permitted.

9.5 Mandatory laws applicable to the Partner, the Venue, the products or services or the relevant transaction that cannot lawfully be excluded by agreement shall continue to apply to the extent required.

10. Counterparts

10.1 This Agreement may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

10.2 Delivery of an executed counterpart of this Agreement by facsimile or electronic mail shall be equally as effective as delivery of an original executed counterpart of this Agreement.
