Bond Special Offer: Commercial Terms and Redemption Rules

Effective date: 1 November 2026

Contents

These Bond Special Offer Commercial Terms & Redemption Rules (the “Special Offer Terms”) govern the creation, publication, administration, claiming and redemption of Special Offers made available by a Bond Venue Partner (the “Partner”) to eligible users of the Bond Digital Platform (the “Bonders”).

Bond is the brand under which the digital platform, services and related features are provided.

The Bond Digital Platform is operated and provided by Elaqa for Design Services LLC, a company established in the United Arab Emirates (the “Company”, “we”, “our” or “us”).

These Special Offer Terms form part of, and are incorporated by reference into, the applicable Bond Venue Partnership Agreement entered into between the Company and the Partner (the “Agreement”).

The Agreement remains the principal contractual document governing the general relationship between the Company and the Partner.

These Special Offer Terms address only the commercial and operational rules specifically applicable to Special Offers and do not replace or duplicate the general contractual provisions of the Agreement.

The Special Offer Terms are intended for use globally and apply subject to any mandatory laws applicable to the Company, the Partner, the Venue, the Bonder, the Special Offer or the relevant transaction.

Where mandatory local law imposes additional or different requirements, those requirements prevail to the extent required by law.

For general contractual matters, including confidentiality, intellectual property, general liability, term, termination, governing law and dispute resolution, please refer to the Bond Venue Partnership Agreement.

2. Definitions

For the purposes of these Special Offer Terms:

Bond: the brand under which the Bond Digital Platform and related services are provided.

Bond Digital Platform: the digital platform operated and provided under the Bond brand, including its website, mobile software, digital interfaces, online services and related features.

Bonder: an eligible user of the Bond Digital Platform.

Partner: a venue, business or other organisation participating in the Bond Partner programme and making a Special Offer available through the Bond Digital Platform.

Special Offer: a promotional benefit voluntarily made available by a Partner through the Bond Digital Platform to eligible Bonders.

Claim: a Bonder’s request, through the Bond Digital Platform, to use a particular Special Offer.

Redemption Code: the unique code or electronic redemption credential generated, displayed or otherwise provided through the Bond Digital Platform for the purpose of validating a Bonder’s eligibility to redeem a particular Special Offer.

Redemption: the successful validation of a Redemption Code followed by the fulfilment of the applicable Special Offer by the Partner.

Offer Conditions: the specific terms, restrictions, eligibility requirements, validity periods and other conditions displayed with a particular Special Offer.

3. Nature and purpose of a Special Offer

A Special Offer is a promotional benefit made available by the Partner to eligible Bonders through the Bond Digital Platform.

A Special Offer may include, without limitation:

  • a complimentary product or service

  • a discount or price reduction

  • a buy-one-get-one or quantity-based promotion

  • a complimentary upgrade

  • a complimentary admission or access

  • a preferential package or experience

  • a customer loyalty or engagement benefit

  • another promotional benefit expressly defined by the Partner and accepted for publication through the Bond Digital Platform

The commercial purpose of Special Offers is to create value for the participating parties.

For the Partner, Special Offers may support customer acquisition, customer engagement, foot traffic, repeat visits, retention and venue visibility.

For Bonders, Special Offers provide benefits associated with their use of the Bond Digital Platform and their interaction with Partner Venues.

For Bond, Special Offers support user engagement, venue discovery, customer acquisition, platform adoption and the development of value for the Bond ecosystem.

A Special Offer is therefore a Partner-funded promotional benefit facilitated and distributed through the Bond Digital Platform, unless otherwise expressly agreed in writing.

4. Independent responsibilities of the Company and the Partner

The Company provides the technology and digital environment through which Special Offers may be displayed, discovered, claimed and validated.

The Bond Digital Platform does not sell, supply, manufacture, prepare or fulfil the products or services included in a Special Offer.

The Partner remains solely responsible for the products, services and benefits supplied in connection with its Special Offers, including their availability, quality, safety, legality and fulfilment.

The Partner remains responsible for:

  • the accuracy and completeness of information supplied to the Company

  • the legality and regulatory compliance of each Special Offer

  • the availability and fulfilment of each Special Offer

  • the quality and safety of the products or services provided

  • its employees and staff involved in redemption

  • applicable taxes, licences, permits and other operational requirements

  • compliance with applicable consumer, pricing, promotional and advertising requirements

  • compliance with applicable age restrictions and other eligibility requirements

  • compliance with any local requirements applicable to the Venue or the relevant transaction

Nothing in these Special Offer Terms makes the Company the seller, supplier, manufacturer, merchant, agent or provider of the Partner’s underlying products or services.

The general allocation of responsibilities and liabilities between the Company and the Partner remains governed by the Bond Venue Partnership Agreement.

5. Submission and creation of a Special Offer

A Partner may submit one or more Special Offers for publication through the Bond Digital Platform.

For each Special Offer, the Partner shall provide the information reasonably required by the Company, which may include:

  • the title and description of the Special Offer

  • the qualifying purchase or eligibility requirement

  • the promotional benefit

  • the validity start and end dates

  • applicable days and times

  • minimum spend or purchase requirements

  • booking requirements

  • redemption limits

  • availability restrictions

  • blackout dates or excluded periods

  • excluded products or services

  • age or other eligibility restrictions

  • whether the Special Offer may be combined with another promotion

  • applicable geographical or territorial restrictions

  • any material legal, regulatory or tax conditions

  • any other condition necessary to properly understand or fulfil the Special Offer

The Partner shall ensure that all information submitted to the Company is accurate, complete, current and not misleading.

The Partner shall promptly notify the Company of any material change affecting an active Special Offer.

6. Publication and presentation

The Company may review a proposed Special Offer before making it available through the Bond Digital Platform.

The Company may refuse, suspend, modify the presentation of, limit the distribution of or remove a Special Offer where reasonably necessary, including where the Special Offer:

  • is inaccurate, misleading or incomplete

  • is unlawful or potentially unlawful

  • cannot reasonably be fulfilled

  • creates a material risk of fraud or abuse

  • conflicts with Bond policies or technical requirements

  • creates a material risk to users

  • creates a material regulatory, safety or reputational risk

  • is inconsistent with the Bond Digital Platform or user experience

The Company may format, resize, translate, localise, categorise or otherwise adapt the presentation of a Special Offer for the Bond Digital Platform and Bond-related promotional channels.

The Company shall not materially change the commercial substance of a Special Offer without the Partner’s authorisation, except where necessary to correct an error, comply with applicable law, prevent fraud or protect users or the integrity of the Bond Digital Platform.

7. Territorial availability and local compliance

A Partner may make a Special Offer available only in the Venue, territory, location, customer group or period specified in the applicable Special Offer.

The Partner is responsible for ensuring that the Special Offer may lawfully be advertised, offered and redeemed in each applicable jurisdiction.

The Partner shall identify any material territorial restrictions, age restrictions, licence requirements, regulated products or services, blackout periods, tax conditions or other local requirements applicable to the Special Offer.

The Company may restrict, suspend or remove a Special Offer from a country, region, audience or Venue where reasonably necessary for legal compliance, safety, fraud prevention, regulatory requirements or Bond platform policy.

Publication of a Special Offer through the Bond Digital Platform does not constitute legal confirmation by the Company that the Partner is authorised to provide the Special Offer in any particular jurisdiction.

8. Claiming a Special Offer

A Bonder may claim a Special Offer through the Bond Digital Platform by selecting the relevant Special Offer and satisfying the conditions displayed on the Bond Digital Platform.

A Claim does not by itself constitute a Redemption.

Following a valid Claim, the Company may issue or display a Redemption Code or other electronic redemption credential.

A Claim does not guarantee that a Partner’s products, services, capacity or inventory will remain available unless the applicable Special Offer expressly provides such a guarantee.

9. Redemption Code

A Redemption Code is a digital credential used to validate a Bonder’s eligibility to redeem the relevant Special Offer.

Unless otherwise specified in the applicable Special Offer, a Redemption Code:

  • is associated with the relevant Bonder and Special Offer

  • is intended for the Bonder’s use

  • is not transferable

  • has no cash value

  • is not a payment instrument

  • does not constitute electronic money

  • cannot be exchanged for cash

  • cannot be sold or commercially resold

  • may be subject to a limited period of validity

  • may be used only in accordance with the applicable Offer Conditions

The Company may invalidate a Redemption Code where it has expired, has already been redeemed, has been duplicated or is reasonably suspected of being fraudulent, manipulated or improperly obtained.

10. Redemption process

Unless another process is expressly specified in the applicable Special Offer, redemption follows the sequence:

  • Claim → Redemption Code → Presentation to Partner → Validation → Fulfilment → Redemption Recorded

The Bonder must present the applicable Redemption Code to the Partner’s authorised staff before the Special Offer is provided.

The Partner’s authorised staff shall validate the Redemption Code through the Bond Digital Platform or another validation mechanism designated by the Company.

A screenshot, copied code, expired code or otherwise unvalidated redemption credential does not constitute a valid Redemption unless the Company expressly permits an alternative process.

Following successful validation, the Partner shall provide the applicable Special Offer in accordance with the published Offer Conditions.

The Company may record the successful Redemption on the Bond Digital Platform for service operation, fraud prevention, analytics and other lawful purposes.

11. Partner's obligation to honour a valid Redemption

Subject to the Offer Conditions and applicable law, the Partner shall honour a successfully validated Redemption Code.

The Partner shall provide the Special Offer substantially as described on the Bond Digital Platform.

The Partner shall not:

  • materially reduce the benefit

  • substitute a materially different benefit

  • impose material conditions that were not disclosed

  • require additional payment for the Special Offer itself

  • discriminate against a Bonder solely because the customer is redeeming a Bond Special Offer

The Partner may refuse a Redemption where:

  • the Redemption Code is invalid

  • the Redemption Code has expired

  • the Redemption Code has already been redeemed

  • the Redemption attempt is reasonably suspected of being fraudulent or manipulated

  • the Bonder has failed to meet an eligibility requirement clearly disclosed in the Offer Conditions

  • fulfilment is prohibited by applicable law

  • an unavoidable circumstance makes fulfilment impossible, subject to applicable consumer rights

Unless expressly agreed otherwise in writing, the Partner bears the economic cost of every Special Offer redeemed through the Bond Digital Platform.

The Company has no obligation to reimburse the Partner for the value of a Special Offer merely because the Special Offer was claimed or successfully redeemed.

12. Qualifying purchases and customer payments

Where a Special Offer requires a qualifying purchase, the Bonder remains responsible for paying for that qualifying purchase.

For example:

Buy 2 drinks and get 1 free: that the Bonder must purchase and pay for the two qualifying drinks and, following successful validation, the Partner provides the applicable complimentary drink.

Free dessert with a main course: that the Bonder must purchase the qualifying main course and the Partner provides the qualifying dessert.

Unless expressly stated otherwise in the Special Offer, applicable taxes, service charges, gratuities, delivery charges or other charges relating to the paid portion of the transaction remain payable in accordance with the Partner’s applicable terms.

The Partner remains responsible for the applicable tax and accounting treatment of the underlying transaction.

13. Redemption limits and non-stacking

Unless otherwise stated in the applicable Special Offer, a Special Offer may be subject to:

  • one Redemption per Bonder per visit

  • one Redemption per qualifying transaction

  • one Redemption per Bonder during the applicable validity period

Unless expressly stated otherwise, a Special Offer may not be combined with another Partner promotion, discount, voucher or promotional benefit.

The Partner may specify different redemption limits or stacking rules, provided that those rules are clearly disclosed on the Bond Digital Platform before the Bonder attempts to redeem the Special Offer.

14. Availability and capacity

Unless the Special Offer expressly guarantees availability, Redemption remains subject to the Partner’s normal operating conditions, capacity and disclosed availability restrictions.

A Partner should not publish a Special Offer that it does not reasonably expect to fulfil during the stated validity period.

Where availability depends on booking, seating, capacity, inventory, age, time of day or another material condition, that condition must be clearly disclosed in the Offer Conditions.

15. Changes, suspension and withdrawal

The Partner may request that a Special Offer be modified, suspended or withdrawn.

The Company may suspend, restrict or remove a Special Offer where reasonably necessary for:

  • legal or regulatory compliance

  • fraud prevention

  • safety

  • technical integrity

  • user protection

  • Partner non-compliance

  • protection of Bond’s reputation or the integrity of the Bond ecosystem

Unless otherwise required by law, security, fraud prevention or operational necessity, the Company and the Partner should seek to preserve the validity of Redemption Codes already validly issued before a material withdrawal or modification of an active Special Offer.

Any mandatory rights applicable to Bonders remain unaffected.

16. Expiry

A Redemption Code expires in accordance with the validity conditions displayed for the applicable Special Offer.

A Redemption Code may also cease to be valid where:

  • it has already been successfully redeemed

  • the applicable Special Offer has expired

  • the Bonder no longer satisfies an applicable eligibility requirement

  • the Redemption Code has been cancelled in accordance with these Special Offer Terms

  • the code has been determined to be fraudulent or invalid

The Partner is not required to honour an expired or invalid Redemption Code except where otherwise required by applicable law.

17. Fraud, abuse and technical misuse

The Company may monitor redemption activity and may invalidate or suspend a Claim or Redemption Code where the Company reasonably suspects:

  • fraud

  • manipulation

  • unauthorised sharing

  • duplication

  • technical abuse

  • circumvention of redemption restrictions

  • account abuse

  • other misuse of the Bond Digital Platform

The Partner shall reasonably cooperate with the Company in investigating suspected fraud or abuse affecting a Special Offer.

The Company may maintain technical records relating to Claims, validation attempts and Redemptions for fraud prevention, service operation, analytics, security and legal compliance purposes.

18. Data protection

Any personal information processed in connection with a Special Offer shall be handled in accordance with applicable privacy and data protection laws.

The Company’s processing of Bonder personal information remains governed by the Bond Privacy Policy.

Where a Partner receives personal information through the Bond Digital Platform to validate or fulfil a Special Offer, the Partner shall use that information only to the extent reasonably necessary for that purpose and shall not use it for unrelated marketing, profiling or other purposes unless permitted by applicable law and appropriately disclosed.

Where the Partner independently collects personal information from a Bonder in connection with the Partner’s own products, services or customer relationship, the Partner remains responsible for its own applicable privacy obligations.

Where required by applicable law, the parties shall enter into an appropriate data processing or data-sharing agreement.

19. Special Offer performance and analytics

The Company may record and analyse operational information relating to Special Offers, including:

  • impressions and views

  • Claims

  • Redemption attempts

  • successful Redemptions

  • rejected or failed Redemption attempts

  • Redemption rates

  • dates and times of Claims and Redemptions

  • other performance indicators

The Company may provide the Partner with relevant reporting, analytics or aggregated insights through Bond professional services, analytics products or other commercial offerings, subject to applicable privacy requirements and the terms applicable to those services.

The Company does not guarantee any minimum number of impressions, Claims, visits, Redemptions, customers, transactions, revenue or other commercial outcomes.

20. Partner funding and fees

Unless expressly agreed otherwise in writing, the Partner bears the economic cost of each Special Offer.

The Company does not reimburse the Partner for a redeemed Special Offer merely because the Special Offer was claimed or validated through the Bond Digital Platform.

If Bond introduces a paid, sponsored, featured, performance-based or otherwise monetised Special Offer service, the applicable fees will be governed by a separate Order Form, Commercial Schedule or other written commercial terms.

The existence of a Special Offer does not by itself create a payment obligation from the Company to the Partner or from the Partner to the Company.

Any subscription, advertising, analytics or other paid Bond service remains governed by the applicable commercial documentation and, where relevant, the Bond Terms of Sales.

21. Taxes and promotional pricing

The Partner remains responsible for determining and applying the tax, VAT, GST, sales-tax, service-charge, tourism-charge or other fiscal treatment applicable to its products, services and Special Offers.

The Partner shall ensure that the advertised price, reference price, discount, qualifying purchase, complimentary item or other promotional representation complies with applicable pricing and consumer-protection requirements.

Unless expressly agreed otherwise, the Company does not determine or assume responsibility for the tax treatment of the Partner’s underlying transaction.

22. Marketing and brand presentation

The Partner authorises the Company, during the applicable partnership period, to display and promote the Partner’s Special Offers and relevant Partner branding for the purpose of operating and promoting the Bond Digital Platform and the Partner relationship.

The intellectual property rights and licences applicable to the general Partner relationship remain governed by the Bond Venue Partnership Agreement.

The advertising presentation of a Special Offer must also comply with the Bond Advertising Policy, where applicable.

The Partner shall not imply that Bond sponsors, manufactures, guarantees or independently fulfils the Partner’s products or services unless expressly authorised.

23. Territorial and regulatory compliance

The Partner shall comply with all laws and regulations applicable to:

  • the Partner

  • the Venue

  • the Special Offer

  • the products and services included in the Special Offer

  • advertising and promotional activity

  • pricing and consumer disclosures

  • taxation

  • licensing and permits

  • health and safety

  • age restrictions

  • regulated products or services

  • data protection

  • any other activity associated with the Special Offer

Where the legal requirements of a particular jurisdiction are more restrictive than the general requirements stated in these Special Offer Terms, the Partner shall comply with the more restrictive applicable requirement.

24. No guarantee of commercial outcome

The Company facilitates the discovery, Claim and Redemption process through the Bond Digital Platform but does not guarantee that a Special Offer will generate any particular level of:

  • customer traffic

  • sales

  • revenue

  • customer acquisition

  • customer retention

  • engagement

  • visits

  • Redemptions

  • return on investment

The performance of a Special Offer may depend on customer behaviour, market conditions, venue operations, availability, location and other factors outside the Company’s reasonable control.

25. Relationship with the Venue Partnership Agreement and other Bond policies

These Special Offer Terms shall be read together with:

  • Bond Venue Partnership Agreement — the principal agreement governing the relationship between the Company and the Partner

  • Bond Privacy Policy — the framework governing the Company’s processing of personal information

  • Bond Advertising Policy — the applicable advertising and promotional requirements

  • Bond Terms of Sales — applicable paid Bond products and services

  • Bond Terms of Use — applicable use of the Bond Digital Platform

  • Bond Special Offer Terms & Conditions — the consumer-facing terms applicable to Bonders who claim and redeem a Special Offer

In the event of a conflict concerning a matter specifically addressed by these Special Offer Terms, these Special Offer Terms shall govern that specific Special Offer matter.

For all other matters, the Bond Venue Partnership Agreement and the other applicable Bond policies continue to apply.

26. Versioning and acceptance

The Partner accepts these Special Offer Terms when creating, activating or otherwise using the Special Offer functionality provided through the Bond Digital Platform, or when otherwise expressly accepting these terms through the Bond Digital Platform or contracting process.

The Company shall identify the applicable version of these Special Offer Terms.

Material changes to these Special Offer Terms shall apply prospectively.

Unless otherwise required by applicable law or necessary for security, fraud prevention or legal compliance, updated terms shall apply to new Special Offers created or activated after the applicable effective date.

An updated version shall not retroactively alter the commercial conditions of a Special Offer already validly claimed unless required by applicable law or reasonably necessary to protect users, the Partner or the integrity of the Bond Digital Platform.

27. Mandatory local law

Nothing in these Special Offer Terms is intended to exclude or limit any right, remedy, guarantee or protection that cannot legally be excluded or limited under the law applicable to the relevant Special Offer, transaction, Partner or Bonder.

Where mandatory local law provides additional or different rights or requirements, those rights and requirements shall apply to the extent required by law.
